    Kailash (Alok Nath) & Shankar Dayal (Kiran Kumar) are best friends. Kailash (Alok Nath) is a bank manager & Shankar works as a watchman in the same bank. Inspite of the difference between the social class, Kailash always treats Shankar equivalent to him, however Shankar is jealous of Kailash's success, and tries to betray Kailash by planting a fake robbery of Rs. 50 lakhs which is committed by him & also tries to kill him. But Kailash survives. Shankar also decieves Kailash's wife & asks her to leave & abandon city forever along with her son whose marriage is fixed with Sonam (Manisha),Shankar's daughter. Shankar leaves for abroad along with Sonam. Years after, Kishen (Salman) Kailash's son has grown up become a handsome intelligent man. He sees Shankar's photo in newspaper for being appointed as Mayor of Raigad on returning from abroad, and decides to take revenge. There Kishen meets Sonam (Manisha Koirala) but he is astonished to see that Sonam has grown to be a spolied brat, dipped in arrogance. Kishen decides to teach her a lesson & then marry her. But Sonam with every possible means insults him. However eventually falls for him. But when everything is going well something has to go wrong, Chamdada (Razamurad) & his associates, sketch out resentful plan to fool Shankar & marry Sonam & make her a prostitue, but Kishen spoils their plot & saves Sonam.
